Terms and conditions

The service

Viruta is a cloud platform for CRM, unified inbox, lead management, quotes, invoicing, Verifactu/SIF records and indicative VAT settlement tools. Available features depend on your plan. Viruta is management software; it does not replace a qualified tax adviser, accountant or lawyer.

Your account

You must provide accurate information and keep credentials confidential. You are responsible for your account and invited users. If you process third-party data (clients, leads), you are controller towards them and must have a lawful basis; Viruta, operated by Manuel Joaquín Izquierdo Tomás (tax ID 22596796D), acts as processor for that data in line with your use of the service. If you require it as a B2B customer, the Data Processing Agreement (GDPR Art. 28) is available at https://viruta.app/dpa.

Acceptable use

You may not use Viruta for spam, fraud, illegal activity, impersonation, infringement of third-party rights or breach of connected channel terms (WhatsApp Business, Meta, Google, etc.). You must comply with applicable data protection and tax law.

Billing

Paid plans renew on your chosen cycle (monthly or annual) via Stripe. Displayed prices may exclude VAT where applicable. Cancel from Billing; access continues until the paid period ends. No pro-rata refunds unless required by law.

Tax features — no tax advice

VAT settlement (models 303, 349, 390, etc.), VAT summaries and tax calculations are indicative drafts generated from data you enter. Viruta does not guarantee they reflect your actual liability or AEAT acceptance. They are not tax advice. Verify amounts, boxes, deadlines and filings with a qualified tax adviser before declaring or paying taxes.

Invoices, Verifactu and documents

You alone are responsible for content, numbering, tax rates, client data, legal requirements and validity of invoices and quotes you issue. Viruta provides formats, QR, fiscal seal and AEAT submission if configured, but does not validate the legal correctness of each transaction. Fiscal issuance locks the document; corrections must follow applicable rules. Keep records required by law.

Limitation of liability

Viruta is provided «as is» and «as available». We do not guarantee uninterrupted availability or error-free fiscal calculations or documents. To the fullest extent permitted by law, we exclude liability for tax penalties, surcharges, business loss or indirect damages from use of fiscal drafts, invoices or integrations. Aggregate liability is limited to fees paid in the twelve months before the claim.

Changes

We may update the service, these terms or the privacy policy. Material changes will be notified by email or in-app notice. Continued use after effective date constitutes acceptance unless law requires additional consent.

Governing law

These terms are governed by Spanish law. Mandatory consumer rights in your EU country of residence are preserved. Unless mandatory law provides otherwise, courts in Spain shall have jurisdiction for business users.
